1. Acceptance of Terms

By accessing or using StartCaaS ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Service Description

StartCaaS is an AI-powered business operating system that provides automated AI agents to assist with business operations including but not limited to email management, sales outreach, project management, research, legal analysis, financial tracking, and software development.

3. AI Agent Disclaimer — IMPORTANT

3.1 No Guarantee of Accuracy

AI agents may produce incorrect, incomplete, or inappropriate outputs. All AI-generated content, analysis, recommendations, code, legal text, financial calculations, and communications are provided "as-is" without warranty of accuracy or fitness for any particular purpose.

3.2 No Liability for Agent Actions

StartCaaS and its operators shall NOT be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from:

Emails sent by AI agents on your behalf
Sales outreach or communications drafted or sent by AI agents
Legal documents, contracts, or compliance materials generated by AI agents
Financial calculations, invoices, or payment processing performed by AI agents
Code written, modified, or deployed by AI agents
Research findings, market analysis, or business recommendations
Any automated actions taken by AI agents
Data loss, security breaches, or unauthorized access resulting from agent operations
Business decisions made based on AI agent outputs

3.3 Human Review Required

You are solely responsible for reviewing and approving all AI agent outputs before they are acted upon, sent externally, or relied upon for business decisions. The CEO Inbox and approval gates are provided for this purpose.

3.4 Not Professional Advice

AI agent outputs do not constitute legal advice, financial advice, medical advice, or any form of professional counsel. Consult qualified professionals for such matters.

4. Prohibited Activities

You may NOT use StartCaaS for:

Any illegal activity including fraud, drug trafficking, or weapons dealing
Child exploitation or abuse material
Terrorism or violent extremism
Harassment, doxxing, or stalking
Spam or unsolicited mass communications
Hacking, cybercrime, or unauthorized access
Copyright piracy or counterfeit goods
Money laundering or financial fraud

Violations will result in immediate account suspension or permanent ban. Severe violations will be reported to law enforcement.

5. User Responsibilities

You are responsible for all content generated by agents operating under your account
You must review agent outputs through the CEO Inbox before external distribution
You must comply with all applicable laws including CAN-SPAM, GDPR, and local regulations
You must not use the Service for illegal, harmful, or deceptive purposes
You are responsible for the accuracy of information provided to the AI agents

6. Subscription & Billing

5.1 Subscriptions are billed monthly in advance via Stripe.
5.2 You may cancel at any time; access continues until the end of the current billing period.
5.3 No refunds for partial billing periods.
5.4 Free trial users will be downgraded to Free tier after 7 days if not converted to paid.
5.5 StartCaaS reserves the right to change pricing with 30 days notice.

7. Data & Privacy

6.1 Your data is stored on secured infrastructure and is not shared with third parties except as needed to provide the Service (e.g., LLM providers for AI processing, Stripe for billing).

6.2 AI agent conversations and outputs may be processed by third-party LLM providers (OpenAI, Anthropic, Google) under their respective data processing agreements.

6.3 You may request data export or deletion at any time via the Compliance dashboard.

8. Intellectual Property

7.1 You retain ownership of all content you provide to the Service.
7.2 You own all outputs generated by AI agents operating under your account.
7.3 StartCaaS retains ownership of the platform, algorithms, and underlying technology.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STARTCAAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify StartCaaS from any claims, damages, or expenses arising from your use of the Service, including any actions taken by AI agents on your behalf.

11. Termination

StartCaaS may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days notice.

12. Changes to Terms

We may modify these Terms at any time. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of California, USA.
